Terms of Use

1. General Provisions

These Terms of Use govern the relationship between Ascend Griffin (hereinafter — "the practice"), owned by sole proprietor (ФОП) Taras Smaliukh (Lviv, Ukraine, Ukraine), and visitors to the website ag.kuznya.studio and prospective clients of the practice.

By using the Site or contacting us, you confirm that you have read these Terms and agree to them.

2. Purpose of the Site

The website ag.kuznya.studio is an informational resource of the practice. The information presented on the Site is for informational purposes only and does not constitute a public offer within the meaning of Article 641 of the Civil Code of Ukraine. Specific terms of collaboration are defined in an individual agreement or service contract.

3. Intro Call (Free Consultation)

The first intro call, lasting up to 30 minutes, is provided free of charge and creates no obligations for either party. Its purpose is to discuss your context and determine whether we can be mutually useful.

4. Paid Services

All paid services (Audit, Discovery, Recovery) are provided on the basis of an individual written agreement or service contract, which defines:

• Scope of work and expected deliverables
• Timelines
• Cost and payment terms
• Guarantees and revision terms
• Terms for ending the collaboration

Prices shown on the Site are indicative and may vary depending on the scope and complexity of the specific project.

5. Guarantees and Limitation of Liability

The quality of the work (analysis, plan, documentation) is guaranteed within the scope of the signed agreement. If a deliverable does not meet the agreed requirements, revisions are made free of charge.

Business outcomes (sales growth, a successful product launch, fundraising, and so on) are not guaranteed, as they depend on many external factors: the market, competitors' actions, the client's management decisions, and general circumstances.

The practice is not liable for:

• Business decisions made by the client based on the recommendations provided
• Actions or inaction of third parties (contractors, vendors, suppliers)
• Changes in market conditions or legislation after a service is delivered
• Technical failures of third-party services (hosting, payment systems)

6. Intellectual Property

The Site's content (texts, design, logos, brand) is the intellectual property of the practice. Its copying and distribution without written permission is prohibited.

Work deliverables (documentation, analyses, plans) created within the scope of a signed agreement transfer to the client's ownership after full payment, unless otherwise stipulated in the agreement.

Methodologies, templates, and internal tools used by the practice to carry out the work remain the intellectual property of Ascend Griffin and are not transferred to the client.

7. Confidentiality

All information received from the client during the collaboration is confidential. Before any detailed discussion, we are ready to sign a mutual non-disclosure agreement (NDA). Details of personal data processing are set out in the Privacy Policy.

8. Payment Terms

All settlements for services rendered are made in accordance with the terms of the signed agreement. Standard terms are 50% prepayment and 50% upon completion of the work. Payment is made by bank transfer to the sole proprietor's (ФОП) bank account.

9. Dispute Resolution

In the event of a dispute, the parties undertake to first resolve it through negotiation. If an agreement cannot be reached, the dispute is referred to the relevant judicial body at the contractor's place of registration (Lviv, Ukraine, Ukraine) in accordance with the applicable laws of Ukraine.

10. Changes to These Terms

We reserve the right to change these Terms. The current version is always published on this page with the date it was updated. Changes are not retroactive and do not affect agreements already concluded.
